Terms of Service

Plain-English summary: Use the site lawfully and respectfully. Don't post fake listings or fake reviews. Content you post stays yours, but you grant us the right to display it. We aren't liable for what visitors do based on information here. Disputes are handled by binding arbitration in Israel (or your jurisdiction's mandatory consumer law where it overrides).
These Terms of Service ("Terms") constitute a binding agreement between you ("you", "user") and ACTV-TEC Ltd. ("GayOut", "we", "us", "our"), operator of gayout.com and related services (the "Service"). By accessing or using the Service, you accept and agree to be bound by these Terms. If you do not agree, you must not use the Service.

1. Acceptance & eligibility
You must be at least 18 years old (or the age of majority in your jurisdiction, if higher) to use the Service. By using the Service, you represent that you meet this requirement and that you have the capacity to enter into a binding contract.
If you are accessing the Service on behalf of an organisation, you represent and warrant that you are authorised to bind that organisation, in which case "you" includes the organisation.
2. Description of the Service
GayOut is an LGBTQ+ travel guide that lists venues ("hotspots"), events, and Pride parades worldwide. It includes user-generated reviews, an AI-powered Trip Planner, a global map, and country-level safety information. Some features require a paid Promoted or Premium subscription for the venue owner.
3. User accounts & magic-link sign-in
The Service uses passwordless authentication: you receive a one-time link by email or sign in with Google. You are responsible for maintaining the confidentiality of any link sent to you and for all activity that occurs under your session.
Notify us immediately at support@gayout.com if you believe your email account has been compromised or if a link was used without your authorisation.
4. User content & licence to GayOut
"User Content" means anything you submit, upload, or display on the Service — including hotspot listings, photos, descriptions, reviews, ratings, comments, and tips.
4.1 Ownership
You retain ownership of your User Content. We do not claim ownership of any text, photo, video, or other material you contribute.
4.2 Licence you grant to GayOut
By submitting User Content, you grant GayOut a worldwide, non-exclusive, royalty-free, transferable, sub-licensable, perpetual, irrevocable licence to host, store, reproduce, modify (for formatting and display only), translate, distribute, publicly perform, publicly display, and create derivative works of your User Content, solely for the purpose of operating, promoting, and improving the Service. This licence survives termination of your use of the Service in respect of User Content already published.
4.3 Your representations
You represent and warrant that:
- You own or have all necessary rights to your User Content.
- Your User Content does not infringe any third-party rights, including copyright, trademark, privacy, or publicity rights.
- Reviews you post reflect your genuine first-hand experience.
- You will not post content that violates Section 5 (Prohibited conduct).
4.4 Moderation
We reserve the right (but not the obligation) to review, edit, refuse, or remove any User Content at our sole discretion. We may remove content that we believe violates these Terms, applicable law, or community standards.
5. Prohibited conduct
You agree not to use the Service to:
- Violate any applicable law, regulation, or third-party right.
- Submit fake listings, fake reviews, or impersonate any person or business.
- Post content that is unlawful, hateful, defamatory, harassing, threatening, sexually explicit involving minors, or otherwise objectionable.
- Engage in discrimination, hate speech, or harassment against any individual or group based on sexual orientation, gender identity, race, ethnicity, religion, disability, or any other protected characteristic.
- Promote illegal goods or services, including but not limited to illegal drugs, weapons, or unregulated escort services.
- Scrape, crawl, or harvest data from the Service except via our public APIs and within rate limits.
- Reverse-engineer, decompile, or attempt to derive source code from any part of the Service.
- Use automated tools (bots, spiders, scripts) to access the Service in a manner that interferes with its operation.
- Bypass, disable, or circumvent any security feature.
- Submit content that contains viruses, malware, or any harmful code.
- Use the Service to send unsolicited bulk email or spam.
- Misrepresent your affiliation with any person or business, including paid relationships not disclosed.
Violations may result in immediate suspension or termination of your access, removal of your User Content, and reporting to law-enforcement authorities where appropriate.
6. Intellectual property
The Service, including its design, code, features, text, graphics, logos, and trademarks (other than User Content), is owned by GayOut or its licensors and is protected by intellectual-property laws worldwide.
The "GayOut" name and logo are trademarks of ACTV-TEC Ltd. You may not use them without our prior written permission, except for fair use such as referring to the Service in editorial content.
Subject to your compliance with these Terms, we grant you a limited, non-exclusive, non-transferable, revocable licence to access and use the Service for your personal, non-commercial use.
7. DMCA & copyright complaints
We respect intellectual-property rights and respond to valid notices under the U.S. Digital Millennium Copyright Act (DMCA), the EU Copyright Directive, and equivalent laws.
If you believe content on the Service infringes your copyright, please send a notice to our designated agent at dmca@gayout.com containing:
- Identification of the copyrighted work claimed to be infringed.
- Identification of the allegedly infringing material and its URL on the Service.
- Your contact information (full name, address, phone, email).
- A statement that you have a good-faith belief that the use is not authorised.
- A statement, under penalty of perjury, that the information is accurate and that you are authorised to act on the rights-holder's behalf.
- Your physical or electronic signature.
Counter-notices may be submitted in accordance with 17 U.S.C. § 512(g). Repeat infringers will have their access terminated.
8. Third-party links & services
The Service may contain links to third-party websites and integrate third-party services (including PayPal, Google Maps, OpenStreetMap, Anthropic, TripAdvisor, hCaptcha, and others). We do not control these third parties and are not responsible for their content, policies, or practices. Use them at your own risk and review their terms before engaging.
9. Paid plans, automatic renewal & refunds
Paid plans (Promoted at $29/year and Premium at $99/year) are billed through PayPal under recurring subscription agreements. By subscribing you authorise PayPal to charge your payment method automatically each year on the renewal date until you cancel.
- Cancellation: you can cancel at any time via your PayPal account ("Manage automatic payments"). Cancellation takes effect at the end of the current billing period; you retain paid features until then.
- 14-day money-back guarantee: for the first 14 days of each new subscription, email support@gayout.com for a full refund. After 14 days, refunds are at our sole discretion.
- Pro-rated refunds: we do not offer pro-rated refunds for partial periods.
- Price changes: we will give at least 30 days' notice of any price change before it applies to your next renewal.
- Failed payments: if PayPal cannot collect, we may suspend paid features after a grace period and downgrade your hotspot to the Free tier.
- Taxes: prices exclude any applicable VAT, sales tax, GST, or similar; you are responsible for taxes that apply in your jurisdiction.
10. Disclaimers ("AS IS")
Information about LGBTQ+ legal status, safety, venues, and events is provided for general information only. Laws, opening hours, and venue policies change. Always verify critical information directly with the venue, local authorities, or a qualified attorney before relying on it.
11. Limitation of liability
Some jurisdictions do not allow the exclusion or limitation of certain damages. In such jurisdictions, our liability is limited to the maximum extent permitted by law.
12. Indemnification
You agree to defend, indemnify, and hold harmless GayOut, its affiliates, and their officers, directors, employees, and agents from and against any claims, liabilities, damages, losses, and expenses (including reasonable legal fees) arising out of or in any way connected with: (a) your use of the Service; (b) your User Content; (c) your violation of these Terms; or (d) your violation of any third-party right, including any intellectual-property or privacy right.
13. Modifications to the Service or Terms
We may modify, suspend, or discontinue the Service (in whole or in part) at any time with or without notice. We may also update these Terms. Material changes will be communicated by a prominent notice on the site or by email at least 30 days before they take effect. Your continued use after changes take effect constitutes acceptance of the updated Terms.
14. Termination
You may stop using the Service at any time. We may suspend or terminate your access immediately if we reasonably believe you have violated these Terms, applicable law, or our community standards. On termination, the licences granted by you in Section 4.2 survive in respect of User Content already published.
15. Governing law & jurisdiction
These Terms are governed by the laws of the State of Israel, without regard to its conflict-of-laws principles. Subject to Section 17 (Disputes) and Section 18 (Mandatory consumer law), the competent courts of Tel Aviv-Yafo, Israel, have exclusive jurisdiction over any dispute that is not resolved by arbitration.
16. Dispute resolution & arbitration
Before filing any claim, you agree to first contact us at legal@gayout.com and attempt to resolve the dispute informally for at least 60 days.
If the dispute is not resolved, it shall be finally settled by binding arbitration administered by the Israeli Institute of Commercial Arbitration (IICA) under its rules in effect at the time. The arbitration shall take place in Tel Aviv-Yafo, in the English language, before a single arbitrator. Judgment on the award may be entered in any court of competent jurisdiction.
Notwithstanding the foregoing, either party may seek injunctive or other equitable relief in any court of competent jurisdiction to protect intellectual-property rights or confidential information.
17. Class-action waiver
You and GayOut agree that any dispute will be resolved on an individual basis. You waive any right to participate in a class action, collective action, or representative proceeding. The arbitrator may not consolidate claims or preside over any form of representative proceeding.
18. Consumer protection (mandatory law)
Nothing in these Terms limits any rights you have as a consumer that cannot be waived under applicable mandatory law. If you are a consumer in the European Union, the United Kingdom, Switzerland, Australia, Brazil, Israel, or another jurisdiction with consumer-protection rules that apply notwithstanding choice of law, those rules apply to you and supersede any conflicting provision here.
EU consumers may also use the European Commission's online dispute resolution platform: ec.europa.eu/consumers/odr.
19. Export controls & sanctions
The Service may be subject to export controls and economic sanctions. You represent that you are not located in, ordinarily resident in, or a national of any country subject to comprehensive U.S., EU, UK, or Israeli sanctions, and that you are not on any list of restricted persons maintained by any of those governments.
20. Force majeure
We are not liable for any failure or delay in performance caused by events beyond our reasonable control, including acts of God, war, terrorism, civil unrest, pandemic, government action, internet or telecommunications failures, or third-party service outages.
21. Severability & entire agreement
If any provision of these Terms is held invalid or unenforceable, the remaining provisions remain in full force and effect, and the invalid provision will be modified to the minimum extent necessary to make it valid and enforceable. These Terms, together with our Privacy Policy and any additional terms you agree to (such as the Terms for Owners), constitute the entire agreement between you and GayOut regarding the Service and supersede any prior agreements.
No waiver of any provision will be deemed a continuing or further waiver. Headings are for convenience only and have no legal effect.
